Terms of service

These Terms of Service are a binding agreement between you and Nazar Adamovych, the operator of RenewalDock ("RenewalDock," "we," "us," or "our"). By creating an account, checking an acceptance box, purchasing a subscription, or using the service, you agree to these terms.

1. Business use and authority

RenewalDock is offered for business use, not personal, family, or household use. You must be at least 18 and able to form a binding contract. If you use RenewalDock for an organization, you represent that you are authorized to bind it, and "you" includes that organization.

2. What the service does

RenewalDock stores operational renewal metadata and sends reminder emails according to rules selected by an account holder. RenewalDock is not a law firm, insurer, government agency, issuing authority, certification body, or compliance-management service. It does not determine whether an obligation applies, a license is valid, a policy provides coverage, or a renewal was completed.

If a Pro account configures a separate fallback contact, RenewalDock may send that contact one additional notice for an expiry cycle when a scheduled send returns an immediate error or the record becomes overdue. This fallback does not detect every delayed rejection, spam-folder placement, or later bounce.

You remain responsible for confirming dates, requirements, filings, fees, delivery, and completion with the authoritative source. A dashboard status or sent-email record is not proof of legal compliance or receipt by a recipient.

3. Accounts and security

You must provide accurate account information, keep credentials confidential, and promptly report suspected unauthorized access. You are responsible for activity under your account until you notify us. We may require email verification or other reasonable checks before enabling a feature or processing a sensitive request.

4. Your data and reminder recipients

You retain your rights in data you submit. You grant us a limited, worldwide license to host, copy, process, transmit, and display that data only as needed to operate, secure, support, and improve the service and comply with law.

You are responsible for the accuracy and lawfulness of your data and instructions. Before adding another person's email address, you must have authority or another lawful basis to send that person the requested operational reminders and provide any notice required by law. You must promptly remove an address if the recipient objects or no longer needs the notices. Do not use RenewalDock for advertising or purchased mailing lists.

Do not submit passwords, payment-card numbers, Social Security or government identification numbers, protected health information, biometric data, or other specially regulated or highly sensitive information. Reference links should point to a document system you are authorized to use.

5. Acceptable use

You may not use RenewalDock to break the law; send deceptive, harassing, or unsolicited commercial messages; infringe rights; upload malicious code; probe or disrupt security; access another account; conceal your identity to abuse the service; bypass plan limits; scrape or reverse engineer the service except where law expressly allows it; or resell access without written permission.

6. Free and paid plans

The Free plan is subject to the current in-product limits. RenewalDock Pro is $19 per month or $190 per year, plus applicable taxes, unless a different price or valid promotion is displayed at checkout. Features and limits for each plan are shown before purchase.

Automatic renewal: when you buy Pro, you authorize Stripe to charge the payment method on file today and automatically at the selected monthly or annual interval until you cancel. Stripe displays the final amount and any promotion before you submit payment. We send a retainable confirmation after purchase and an advance reminder before an annual renewal.

7. Cancellation, plan changes, and refunds

You can cancel online at any time from Settings by opening the Stripe billing portal. Cancel before the next renewal date to avoid the next charge. Unless the portal states otherwise, cancellation takes effect at the end of the current paid term and you retain paid access until then. Deleting an account with an active subscription requests immediate Stripe cancellation before account content is removed.

Except where law requires otherwise or we expressly agree, completed subscription charges are non-refundable and no credit is provided for a partial billing period. This does not limit any non-waivable right to a refund. If we make a pricing change, it applies only prospectively after advance notice; where law requires renewed consent, we will request it before charging the changed amount.

8. Taxes and payment processing

Prices exclude taxes unless stated otherwise. We may calculate, collect, and remit taxes we determine are required. You are responsible for taxes imposed on your purchase that we are not required to collect, excluding taxes on our income. Stripe processes payments under its own terms and privacy policy; RenewalDock does not receive your full card number.

9. Availability, email delivery, and changes

We work to provide a reliable service, but do not promise uninterrupted availability, error-free calculations, or delivery to every inbox. Email can be delayed, rejected, filtered, or misdirected. Maintain another reasonable control for critical deadlines.

We may modify or discontinue features. We will provide reasonable advance notice when a material change adversely affects a paid feature, unless immediate action is needed for security, legal compliance, or service integrity.

10. Intellectual property and feedback

RenewalDock and its software, design, branding, and documentation are owned by the operator or licensors. While your account is active, you receive a limited, revocable, non-exclusive, non-transferable right to use the service for your internal business purposes. If you provide feedback, you permit us to use it without restriction or compensation, but we will not identify you publicly without permission.

11. Third-party services

The service depends on third-party hosting, email, payment, domain, and infrastructure providers. Their services and terms are outside our control. We are not responsible for a third-party service's acts or omissions, but this does not excuse us from obligations that applicable law places directly on us.

12. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access when reasonably necessary to address security, payment, legal, or abuse risk, or a material violation of these terms. Where practical, we will give notice and a reasonable opportunity to cure or export active records. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, and dispute terms—continue after termination.

13. Disclaimers

To the fullest extent permitted by law, RenewalDock is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that a reminder will prevent a missed deadline or that information entered by a user is complete or correct. Some jurisdictions do not allow certain disclaimers, so they apply only to the extent lawful.

14. Limitation of liability

To the fullest extent permitted by law, RenewalDock and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for a missed renewal, expired license, lapsed insurance, regulatory penalty, lost profit, lost data, lost opportunity, or business interruption arising from the service.

Aggregate liability for all claims relating to the service will not exceed the greater of US $100 or the subscription fees you paid to RenewalDock during the 12 months before the event giving rise to the claim. These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited.

15. Indemnity

To the extent permitted by law, you will defend and indemnify RenewalDock and its operator from third-party claims, losses, and reasonable costs arising from your unlawful data or instructions, your violation of another person's rights, or your material breach of these terms. This does not apply to the extent a claim was caused by our own unlawful conduct.

16. Notices and changes to these terms

You consent to receive service, billing, security, and legal notices electronically at your account email or in the product. We may update these terms as the service or law changes. We will post the updated date and provide advance notice of a material change when required. A change does not retroactively alter a completed transaction. If applicable law requires affirmative consent, continued use alone will not replace that consent.

17. Governing law and general terms

New York law governs these terms without regard to conflict-of-law rules. State and federal courts with jurisdiction in Onondaga County, New York, have exclusive venue, except where applicable law allows you to bring a claim elsewhere. These terms and referenced policies are the entire agreement about the service. You may not assign them without our consent; we may assign them as part of a reorganization or transfer of the service. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be narrowed to the minimum extent necessary and the rest will remain effective.
